The confirmation window is open
The Registrar of Companies announced that the entities covered by the notice must confirm their beneficial ownership register information between 1 October and 31 December 2026. The exercise concerns the beneficial owners, senior management officials or due diligence information, as applicable.
No changes does not mean no action
Annual confirmation is still required where the information is unchanged. If an initial submission or an update is required during the confirmation period, that action must be completed first, followed by confirmation by 31 December. The notice also addresses newly registered entities whose initial submission deadline falls within the window.
The cost of missing the deadline
Failure to confirm by 31 December 2026 can result in a €100 fine on the first day of non-compliance, plus €50 for each subsequent day, up to €5,000. Confirmation is completed electronically. It is required only once during the window; a subsequent change does not require another annual confirmation.
Prepare a clear ownership record
For an overseas group, we recommend checking the ownership chart against the current share registers and supporting records before instructing the administrator. Flag any ownership or control changes promptly, including changes further up the group structure. Keep the electronic confirmation receipt with the company’s compliance records.
